It is a statutory requirement for a Kenyan Company/Business to be registered for the following:

Single Business Permit (“Unified Business Permit”)

This is a license issued to permit the conduct of a business or trade including profession or occupation in premises within the area of a local authority. It is issued by the Local Authority and is specific to a business premises (i.e. if you have a business office and another branch at different locations, you will require two separate business permits). The fees payable to the Local Authority for a business permit varies depending on the type of business, number of employees and size of the premises in square feet. We shall therefore only be in a position to provide the figure once you get office space and you confirm the number of the Company’s employees and the size of the premises. There is a requirement to pay for the business permit on an annual basis.

PIN Registration

Under the Income Tax Act, every employee and employer are required to register with Kenya Revenue Authority for tax purposes.

For the non-Kenyan employees, a copy of a special pass or a work permit is required for the application to be processed and a non-resident PIN issued. Once a Foreigner Certificate (Alien Card) is processed, the PIN status may be updated to resident status.

National Hospital Insurance Fund (“NHIF”)

All employers are required to register with NHIF.

Once an expat employee has obtained a Work Permit, they are required to register for (NHIF) membership. Registration and contribution towards NHIF is mandatory for all employers and employees.

All Kenyan employees are required to register with NSSF.

Once registered as an employer, the Company is required to make monthly deductions from the employees pay and remit these to NHIF.

National Social Security Fund (“NSSF”)

All employers are required to register with NSSF.

Individuals: If an expat employee is expected to be under the employment of an employer for a period exceeding three years, then they shall be required to apply for registration with NSSF.

Corporate: The Company is required to register with (NSSF) once it engages its first employee. Once registered, the Company is required to make monthly deductions from the employees and remit these, together with its matching contribution, to NSSF.

Occupational Health and Safety License

You shall also require to register your business premises as a work place with the Director of Occupational Safety and Health under the provisions of the Occupational Safety and Health Act, 2007 (“OSHA”) which requires that before any person occupies or uses any premises as a work place, he should apply for the registration of the premises and be issued with a certificate of registration. There is a requirement to renew the registration on an annual basis.

The application would be expected to take approximately 8 weeks to complete.

Higher Education Loans Board (“HELB”)

You may require obtaining registration as an Employer for Higher Education Loans Board (“HELB”) purposes as the HELB Act places obligations on an Employer in respect of their Employees who are HELB loanees.

The application would be expected to take approximately 5 -10 working days to complete.

Industrial Training Levy (the Levy)

The Industrial Training Act empowers the Minister for Labour and Resource Development to make training levy orders. One such order is the Industrial Training Levy Order, 2007 which requires a person who is an employer to, unless already registered with the National Industrial Training Authority (NITA), to apply to be registered with NITA and to pay the Levy at a rate of KES. 50 per employee per month from July 2007 or within 30 days of becoming an employer.

Clearance with the Fire Prevention Department

Local authority by-laws require occupiers of commercial premises to comply with regulations relating to fire safety. A fire clearance certificate issued by the fire department of the relevant local authority serves as proof of compliance with the regulatory requirement as it usually issued after an inspection has been carried out by the local authority’s fire inspector.

Advertising, Branding and Signage Licenses

Local Authority by-laws usually require persons who put outdoor advertisements (such as advertisements on vehicles and billboards) and signage to obtain licenses in relation to each surface on which the advertisement and signage is placed.
